Investing in DCLI

DCLI is the largest chassis provider in North America. Chassis enable the over-the-road portion of all container movements linking other transportation modes across the supply chain ecosystem and are typically required multiple times in a container’s transit from origin to destination. In order to meet the scale and service needs of customers, chassis providers require a robust network of strategically positioned chassis available across key intermodal hubs. We operate an extensive network of approximately 290,000 high-quality marine and domestic chassis at more than 500 locations across key port and rail terminals.

Financial Reports

On October 31, 2024, DCLI BidCo LLC (“DCLI”), the direct parent company of Direct ChassisLink, Inc., issued $500 million aggregate principal amount of 7.750% senior secured second lien notes due 2029 (the “notes”) in a transaction not subject to the registration requirements of the Securities Act of 1933, as amended. DCLI will make annual audited financial statements, together with a Management’s Discussion and Analysis of Financial Condition and Results of Operations (“MD&A”), available within 120 days after the end of our fiscal year, which ends on December 31. In addition, we will make unaudited quarterly financial statements, together with an MD&A, available within 60 days after the end of each of the first three quarters of each fiscal year, and certain required current reports available promptly after the occurrence of such reportable event. The deadlines for providing these annual and quarterly reports are subject to automatic extension by a period of 30 days, in the event we consummate certain transactions within the period to be covered by such report(s).

The financial information and reports will be posted on a secure website and will be made available only to holders or beneficial owners of the notes, prospective investors of the notes, securities analysts (to the extent providing analysis of investment in the notes) and market makers; provided that we may deny access to any competitively-sensitive information to any such person that is a competitor, customer or supplier of DCLI and its subsidiaries or an affiliate or equity holder thereof, in each case, to the extent that we determine in good faith that the provision of such information would be competitively harmful to us. Such person requesting access to our financial information and/or reports is required to (i) treat all such reports (and the information contained therein) as confidential, (ii) not use such reports and the information contained therein for any purpose other than their investment or potential investment in the notes and (iii) not publicly disclose any such reports (and the information contained therein).

Investor Conference Calls

DCLI will host an investor teleconference call for holders of the notes, prospective investors of the notes, securities analysts, and market makers after the annual and quarterly reports are posted. Prior to the investor call, DCLI will announce to such parties the date and time of the call and details on how to access the call.
